Corporate Law

We advise companies and entrepreneurs on all matters of corporate law. Among other things, we support them in the establishment of new companies, the assessment of special questions of corporate law as well as in all kinds of corporate law structuring. Founders of new businesses and start-up companies (new media and technologies as well as traditional craft and service businesses) receive customized advice from us. Together, we clarify the most suitable legal and operational form for the respective project, and develop business plans with you for raising equity and debt capital.

Another focus of our activities is the support in the purchase and sale of companies or parts of companies. We work out the necessary procedural steps with our clients (company exposé, confidentiality agreement, letter of intent, option/preliminary contract up to the final contract), carry out due diligence (all areas of law and taxes). All legal and tax issues related to corporate transactions are handled in the firm.

In particular, we frequently provide permanent legal advice to small and medium-sized businesses. We prepare all relevant measures, such as shareholder resolutions, amendments to the articles of association or capital increases, and accompany their implementation in close consultation with the client.

Criminal Tax Law

Criminal tax law is located in the area between law and taxes. Criminal tax law is conducted via tax law, and in companies via accounting, annual financial statements and company tax returns.
